These Terms and Conditions ("Agreement") govern the provision of medical billing services ("Services") by Medbill Ninja ("Provider") to the client ("Client").

Service Agreement: The Client agrees to engage the Provider for the purpose of providing Services. Provider shall use commercially reasonable efforts to provide Services in accordance with industry standards.

Fees:The fees for the Services shall be as agreed upon by both parties and outlined in a service agreement. The Client agrees to pay Provider the fees in a timely manner and to notify Provider of any changes in billing information.

Confidentiality:Provider agrees to maintain the confidentiality of all Client information and to protect it from unauthorized access, use, or disclosure. Provider may use third-party service providers to provide Services and agrees to allow these service providers to access Client information for the purpose of providing Services.

Intellectual Property: Provider retains ownership of all intellectual property developed or used in the course of providing Services.

Limitation of Liability: Provider's liability for any damages arising out of or related to the Services shall be limited to the amount of fees paid by the Client to Provider. Provider shall not be liable for any consequential, indirect, or special damages arising out of or related to the Services.

Termination: Either party may terminate this Agreement upon written notice to the other party. Provider may terminate this Agreement immediately upon notice to the Client if the Client breaches any of the terms and conditions outlined in this Agreement.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada.

Amendments: Provider may amend these terms and conditions at any time. Any amendments will be effective upon posting on the Provider's website.

Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications and proposals, whether oral or written.

Indemnification: The Client agrees to indemnify, defend, and hold harmless Provider, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses arising out of or related to the Services provided under this Agreement.

Dispute Resolution: Any disputes arising out of or related to this Agreement shall be resolved through arbitration in accordance with the rules of the Canadian Arbitration Association.

Assignment: The Client may not assign this Agreement without the prior written consent of Provider.

Waiver: The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver of such provision or of the right to enforce it.
